Basic Agreement for XPNZV Records Songwriting Camp

XPNZV Records Songwriting Camp Agreement

This Agreement ("Agreement") is made between XPNZV Records LLC ("XPNZV") and the Participant ("Participant")

1. Purpose The purpose of this Agreement is to outline the terms and conditions for the Participant's involvement in the XPNZV Records Songwriting Camp ("Camp") at Fabiola a Private Finca in Armenia, Quindio, Colombia.

2. Camp Details

  • Dates: Week 1 (August 18-24) and Week 2 (August 25-31)

  • Location: Fabiola Private Finca, Armenia, Quindio, Colombia

  • Provided By XPNZV: Accommodation, meals, transportation, and all camp-related activities.

3. Participation

  • Eligibility: Participants must be invited by XPNZV Records.

  • Commitment: Participants agree to fully engage in all scheduled activities and collaborative sessions.

4. Creative Rights

  • Ownership: All songs created during the Camp will be co-owned by XPNZV Records and the Participant(s) involved in the creation of the song.

  • Executive Production: XPNZV Records will executive produce the mixing and mastering of all songs created during the Camp.

  • First Rights: XPNZV Records will have the first rights to pitch, place, and negotiate deals for the finished songs.

  • Credits: Participants will receive appropriate credits for their contributions to the songs.

5. Incentives and Benefits

  • Costs Covered: All costs associated with accommodation, meals, and Camp activities will be covered by XPNZV Records. An estimated value of $1,999 per person would be covered.

  • Opportunities: Participants will have the opportunity to work with top producers and songwriters, and to pitch their songs for placement in various media and artist projects.

6. Confidentiality Participants agree to keep all Camp activities and future activities, discussions, and song creations confidential until such information is publicly released by XPNZV Records.

7. General Provisions

  • Amendments: This Agreement may be amended only by written consent of both parties.

  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Florida, United States of America .

  • Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations.

Participant acknowledges and agrees to the terms and conditions outlined in this Agreement once signed on the day of arrival.
